Agreement

These Terms of Service (“Terms”) are a binding agreement between you and MakeQ (“MakeQ,” “we,” “us,” “our”) governing access to and use of our website at getmakeq.com, the MakeQ web application, and related services we offer (together, the “Service”). By creating an account, installing or using our integrations, or otherwise using the Service, you agree to these Terms. If you use the Service on behalf of a company or other entity, you represent that you have authority to bind that entity, and “you” includes that entity.

If you do not agree, do not use the Service. Our Privacy Policy explains how we handle personal information.

Who we are

MakeQ provides production planning software for businesses. We operate from British Columbia, Canada, and make the Service available to customers worldwide, including in the United States. These Terms apply whether you access MakeQ through our website, a connected store platform, or any other interface we provide.

You are responsible for ensuring that your use of the Service complies with laws and regulations that apply to you and your business (including tax, export, and industry rules in your country, province, or state).

The service

The Service helps you plan manufacturing and purchasing, manage items and inventory information you maintain in MakeQ, and—if you choose—sync operational data from connected stores. Features depend on your plan, configuration, and which integrations you enable. We may add, change, or retire features; we will not materially reduce your rights under these Terms without reasonable notice where required.

MakeQ surfaces information to support your decisions. You remain solely responsible for your business, compliance, and any actions you take based on data shown in the Service (including production, purchasing, and fulfillment decisions).

Accounts and eligibility

You must provide accurate registration information and keep your account credentials secure. You are responsible for activity under your account unless you notify us promptly of unauthorized use. You must be at least 18 years old (or the age of majority in your jurisdiction) and able to form a binding contract.

You may not share accounts in a way that circumvents access limits, resell access to the Service without our written consent, or use the Service in violation of applicable law.

Early access

MakeQ may be labeled or operated as early access, beta, or a similarly described release. During such periods the Service may be less stable, change more frequently, or include features still in development. We appreciate feedback; unless we agree otherwise in writing, you grant us a perpetual, worldwide, royalty-free license to use feedback you provide to improve the Service without obligation to you.

Acceptable use

You agree not to:

• Use the Service to violate law, infringe others’ rights, or send malware, spam, or harmful code.
• Probe, scan, or test the vulnerability of our systems, or bypass or circumvent security or access controls, except as part of an authorized bug bounty or with our written permission.
• Reverse engineer, decompile, or attempt to extract source code of the Service except where applicable law forbids this restriction.
• Use the Service to build a competing product by systematically scraping or copying non-public aspects of the Service.
• Use the Service in any manner that could damage, disable, overburden, or impair our infrastructure or other users’ experience.

We may investigate and suspend or terminate access for conduct we believe violates these Terms or puts the Service or others at risk.

Third-party services

If you connect a store or other third-party platform (for example Shopify), your use of that platform is governed by its terms and policies. We are not responsible for third-party services, their availability, or their handling of data. When you authorize integrations, you instruct us to access and process information as described in our Privacy Policy and in-product disclosures.

Fees, trials, and billing

Paid plans, trials, and current prices are described on our Pricing page and in checkout or billing screens in the product. By subscribing or starting a trial where a payment method is required, you authorize us and our payment processors to charge applicable fees according to the plan you select. Fees are generally billed in advance on a recurring basis until you cancel.

Taxes may apply based on your location. If you believe a charge is incorrect, contact support@getmakeq.com or founder@getmakeq.com promptly. Unless required by law or stated otherwise at purchase, fees are non-refundable except at our discretion or as required for your region.

Intellectual property

We and our licensors own the Service, including software, branding, documentation, and underlying technology. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes during your subscription or trial.

You retain rights to data you submit to the Service (“Customer Data”). You grant us a worldwide license to host, process, transmit, and display Customer Data only as needed to provide and improve the Service, secure our systems, and comply with law—consistent with our Privacy Policy.

Disclaimers

The Service is provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim all warranties, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components, or that data will never be lost; you are responsible for maintaining appropriate backups of Customer Data where needed for your business.

Limitation of liability

To the fullest extent permitted by law, neither MakeQ nor its suppliers will be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, goodwill, or data, arising from these Terms or the Service, even if advised of the possibility.

Except for your payment obligations or liability that cannot be limited by law, our total liability for any claim arising from these Terms or the Service is limited to the greater of fifty U.S. dollars (USD $50) or the amounts you paid us for the Service in the twelve (12) months before the claim arose.

Some jurisdictions do not allow certain limitations; in those cases our liability is limited to the maximum permitted by law.

Indemnity

You will defend and indemnify MakeQ and our affiliates, officers, and employees from and against third-party claims, damages, and costs (including reasonable attorneys’ fees) arising from your Customer Data, your use of the Service in breach of these Terms, or your violation of law or third-party rights.

Suspension and termination

You may stop using the Service at any time. We may suspend or terminate access if you materially breach these Terms, fail to pay fees when due, or if we must do so to comply with law or protect the Service. Provisions that by their nature should survive (including intellectual property, disclaimers, limitation of liability, indemnity, and governing law) will survive termination.

After termination, we may delete or retain Customer Data according to our Privacy Policy and backup practices. Export any data you need before closing your account where the product offers export features.

General

International use. If you access the Service from outside Canada, you do so on your own initiative and are responsible for compliance with local laws where they apply. Nothing in these Terms limits any rights you have under mandatory consumer protection, privacy, or other laws of your country, province, territory, or U.S. state that cannot be waived by contract.

Governing law. These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict-of-law principles that would apply another jurisdiction’s laws.

Venue. Except where prohibited by applicable law, you and MakeQ submit to the exclusive jurisdiction of the courts located in Vancouver, British Columbia, Canada, for disputes arising from these Terms or the Service, and you waive any objection to venue in those courts.

Entire agreement. These Terms and any policies referenced here (including the Privacy Policy) are the entire agreement between you and MakeQ regarding the Service and supersede prior understandings on this subject.

Assignment. You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale of assets.

Severability; no waiver. If a provision is unenforceable, the remaining provisions remain in effect. Failure to enforce a provision is not a waiver.

Export. You will comply with applicable export and sanctions laws and will not use the Service in embargoed regions or for prohibited end uses.

Changes to these terms

We may update these Terms from time to time. We will post the revised Terms on this page and change the “Last updated” date. If a change is material, we will provide additional notice when appropriate (for example by email or in-product message). Continued use of the Service after changes become effective constitutes acceptance of the revised Terms. If you do not agree, stop using the Service and close your account.
